I formed Graf Business Law in 2007 after more than 20 years of legal practice in several large international law firms and experience as co-founder and director and acting general counsel of several startups and technology companies. I wanted to be able to provide high-quality representation to startup companies and other small businesses, particularly those with a socially responsible focus, in a cost-effective and efficient manner. My firm combines the experience and training of an international law firm partner with the inside knowledge of a general counsel and business acumen of a company director and startup co-founder, all at rates less than those of a large firm junior associate.
I provide counsel to founders and startup companies regarding typical legal issues confronted by early-stage companies, including entity choice, founders' matters, positioning for later stage investments and complying with existing non-competes and confidentiality agreements.

I regularly represent startups seeking capital, as well as angel and other investors contemplating investments in startups and other early stage companies, in structuring, negotiating and closing such investments and complying with federal and state securities laws and other regulatory issues.
I help buyers and sellers to navigate the dynamic and complex M&A process and achieve quality results across a wide variety of industries. I provide legal advice on all matters to be addressed by companies seeking to acquire or sell, merge, or restructure, and have a large network of outside experts to draw on in tax and other specialized areas.
